Mesirow Financial reports robust revenues for 2010

Chicago-based Mesirow Financial said fiscal 2010 was its best year ever, despite lingering sluggishness in the economy.

Revenues for its fiscal year ended Mar. 31 rose 13 percent to $526 million, due to “spectacular” performances from the privately-held and employee-owned firm’s institutional sales and trading and advanced strategies businesses, as well as “strong” contributions from private equity, consulting and insurance services.

Stockholders’ equity, held by about 300 of its employees, increased nearly 20 percent to $299 million. Get the full story »

Shareholder sues to bar Discover’s Citi deal

A Student Loan Corp. shareholder has sued to block the sale of the company by majority owner Citigroup Inc. because it benefits the Wall Street bank at the expense of minority investors, according to a lawsuit.

Citigroup, which owns 80 percent of the Stamford, Connecticut-based student lender, agreed last week to sell it to Discover Financial Services for $600 million. Get the full story »

United shareholders approve Continental merger

Chicago-based United Airlines shareholders on Friday overwhelmingly voted to approve a deal to combine with Continental to form the world’s biggest airline.

Meanwhile in Houston, Continental shareholders also gave the merger a thumbs up.

Shareholders of United parent UAL Corp. met in Elk Grove Township on Friday morning to vote on the $3 billion stock swap. The companies expect the deal to close in the next two weeks. Get the full story »

United-Continental to keep Cleveland operations

United and Continental Airlines agreed on Monday to maintain a hub in Cleveland for at least five more years, as Ohio Attorney General Richard Cordray ended his antitrust investigation of the mega-merger.

The announcement clears one of the last remaining roadblocks to the tie-up, which will create the world’s largest carrier. The Justice Department, which had been expected to provide the closest scrutiny of the deal, concluded its antitrust probe last month.

United and Continental shareholders will vote on Friday to formally approve the financial union of the two airlines. The deal is slated to close on Oct. 1, when Continental CEO Jeff Smisek will become chief executive of the new United. Get the full story »

Investors get more power to nominate directors

The Securities and Exchange Commission on Wednesday approved changes that make it easier for shareholders to nominate directors of public companies.

The 3-2 vote allows groups that own at least 3 percent of a company’s stock to put their nominees for board seats on the annual proxy ballot sent to all shareholders. The new financial overhaul law enacted last month gave the SEC the authority to make the change. Get the full story »

SEC to meet next week on proxy access rules

Securities regulators will meet on August 25 to consider giving shareholders more power to nominate company directors.

The Securities and Exchange Commission on Wednesday posted on its website an agenda for the meeting next week, in which it will consider whether to adopt the reforms, a contentious issue known as “proxy access.” Get the full story »
